# Terms of Service

> How to use Loomworld, and the boundary between your work, AI output, accounts, and the service.

Version: 2026-10-03 · Effective for Loomworld, Global edition (loomworld.ai). The Privacy Policy and Refund Policy are integral parts of these Terms; using the Product constitutes your acceptance of these Terms and those policies. This is the English text of the Global edition and translates the Chinese Terms of Service of the same date clause for clause. **The Chinese version is the authoritative text; where the two differ, the Chinese version prevails.**

## Important Notice

**Contract formation.** When you complete registration as instructed, or otherwise use Loomworld in any way, you have read, understood and accepted these Terms and the accompanying policies in full and have entered into an agreement with the Operator. If you do not agree, stop registering or using the Product immediately.

**Read carefully.** Please read every clause carefully before you form the contract, especially the clauses **in bold** that exclude or limit our liability. **The Product is not available to minors.** Until our minor-protection controls are deployed and verified, we do not accept registrations from or provide services to persons under 18.

**Amendments.** We may revise these Terms and our platform rules from time to time and publish the changes in-product or on the official website. Continued use after a change takes effect constitutes acceptance. If you disagree with a change, stop using the Product.

## 1. Definitions

1.1 **Loomworld** means the AI-native screenwriting software for professional writers and its accompanying cloud services, including the Desktop client, the Browser client, the official website and all functions, services and documentation they provide, and any future service forms (the "**Product**" or the "**Services**").

1.2 **Operator** (also "**we**", "**us**") means Taiyuan Daxigan Culture Media Co., Ltd. (太原大喜感文化传媒有限公司), the entity that develops and operates the Product. Website filing number: 晋ICP备2026013615号.

1.3 **Quill** means the AI writing assistant built into the Product and its supporting capabilities, including multi-turn writing, one-shot generation skills and background archive maintenance.

1.4 **Project Data** means all content you create in the Product and its organisation — script text, characters, locations, props, settings, timelines, scene structure and image assets.

1.5 **Credits** means the virtual metering unit that pays for AI usage in the Product. Credits are consumed by actual usage, are non-transferable, are not cashable, and are not prepayment, deposits or savings.

1.6 **Platform Rules** means all rules, specifications, notices and announcements published now or later in the Product or on the official website.

1.7 **Global edition** means the edition reached through loomworld.ai, which registers accounts with an email address and prices goods in USD. The CN edition reached through loomworld.cn registers accounts with a mainland Chinese mobile number and prices goods in CNY. The two are separate account markets and are not interchangeable.

## 2. Acceptance and Scope

2.1 These Terms are concluded between you and the Operator and take effect at the earlier of your acceptance or your first actual use of the Product.

2.2 The Privacy Policy, the Refund Policy and any agreements or Platform Rules added later are integral parts of these Terms. By using the corresponding services you agree to be bound by them.

2.3 Unless expressly stated otherwise, these Terms apply to every new product feature and service form without condition.

## 3. Registration and Account Security

3.1 **Eligibility.** You confirm that before registering and using the Product you have reached the age of 18 and have the civil capacity corresponding to your acts as the law provides. An account registered without such capacity is void from the outset; once we become aware of it we may stop serving or delete it immediately, and the consequences fall on the person concerned and their guardian.

3.2 **Registration.** The Global edition requires a real, deliverable **email address**, verified by an emailed code, plus a password. The account's market is stored server-side and re-validated against the entry host; Global and CN accounts, identity methods and entry points are not interchangeable, and cross-entry access is refused. If the email service is unavailable, the affected registration, login and recovery entry points stay closed — we do not fall back to a mobile-number flow. A personal invitation code is optional. Your registration details must not be unlawful or contain another person's identity. Where we have evidence or reasonable grounds to believe you registered improperly or are abusing multiple accounts (including farming trial credits and evading restrictions), we may freeze or close the accounts, refuse service, and hold you liable for resulting loss.

3.3 **Account security.** Your password is stored only as a salted, irreversible hash, and we will never ask you for it. Acts performed through your account are attributed to you and you are responsible for everything done under it. **We are not liable for loss caused by your own disclosure of credentials or by attack or fraud against you**; pursue the wrongdoer instead. Accounts are personal: any licence or transfer of your account, or of access to it, to a third party is void without our consent.

3.4 **Sessions and devices.** Login sessions use a short-lived access session and a refreshable long-lived session. On the Browser the long-lived credential is held only in an HttpOnly, Secure, SameSite cookie on the API domain; on Desktop it is held in your operating system's credential store. You may review device summaries, revoke individual or all other sessions, and perform a strict online sign-out from the account centre. If you see an unfamiliar session, revoke it and contact us.

3.5 **Keeping contact details current.** Keep the contact method for your market valid and current — an email address for Global accounts. If a stale address prevents us from reaching you, or you do not cooperate with verification when asked, you bear the resulting consequences for yourself and we may restrict or end part or all of the service to you.

## 4. What the Product Is

4.1 **Local storage and cloud sync.** Projects on ordinary free accounts stay on the current device; signing in alone does not upload them. An active subscription or a recorded legacy Global entitlement permits cloud sync for a selected project, with an account-scoped cloud version and a complete local copy. Local opening, editing, saving and export continue when offline, out of credits, after subscription expiry or while the cloud is unavailable. With valid access, edits upload on reconnect; after expiry cloud writes pause while existing cloud projects remain available to read, export and delete. Renewal checks both versions before sync resumes. If they conflict, your un-uploaded edits are preserved as a separate "conflict copy" before refreshing from the cloud. You may export a full local copy at any time, and we place no restriction on export or migration.

4.2 **How Quill works.** AI tasks process your Project Data in the cloud: Quill reads the project content the current task needs and calls model services through our gateway. **Any change AI proposes to your script text, author settings or other formal content is returned as a proposal and takes effect only after you confirm it in the client** — we never silently rewrite story facts you have accepted. Derived material such as chapter summaries and entity profiles may be maintained automatically according to your project settings.

4.3 **Providers and metering.** AI calls deduct Credits per the published pricing rules, and each call shows you the provider brand and the Credits consumed. Model versions, upstream credentials and failure fallbacks are managed by us; you neither need nor may configure your own API keys.

4.4 **Service boundaries.** The Product does not provide storyboarding, video generation, production management or distribution. Cloud paid projects do not yet support multiplayer collaboration, member permissions or real-time co-editing. We may adjust, upgrade or retire functions as operations require, and will announce material changes in advance.

## 5. Acceptable Use

5.1 You must not input into the Product, elicit the generation of, or disseminate any of the following content, and must not use the Product for the purpose of generating such content. Where you do, we may delete or block the relevant content in accordance with law, take further measures proportionate to the circumstances, and report suspected illegality to the competent authorities:

- content that violates the basic principles established by the Constitution of the People's Republic of China; endangers national security; leaks state secrets; subverts state power; or undermines national unity;
- content that promotes terrorism or extremism, incites the commission of terrorist acts, or incites ethnic hatred or discrimination or undermines ethnic solidarity;
- content that undermines the state's religious policy, or promotes cults or feudal superstition;
- content that spreads rumours, or disrupts the economic order or social order;
- content that disseminates obscenity, pornography, gambling, violence, homicide or terror, or that abets criminal offences;
- content that insults or defames others, or infringes another person's reputation, privacy, likeness or other lawful rights and interests;
- content that hypes gossip or scandals, comments improperly on major disasters or accidents, carries sexual innuendo, or promotes vulgar or tacky material;
- content that may lead minors to imitate unsafe behaviour, or that is detrimental to the physical and mental health of minors;
- content involving drugs, controlled substances, counterfeit currency, firearms, explosives or other unlawful or prohibited goods or activities;
- any other content prohibited by law or administrative regulation.

You bear full responsibility for the content you input into the Product. Creating a work of fiction does not exempt you from the duty to comply with the law or from the duty not to infringe the lawful rights and interests of others.

5.2 You must not engage in acts that harm the security or normal operation of this service, including:

- unlawfully intruding into a network, interfering with service functions, stealing data or spreading malicious code;
- accessing or harvesting service data through crawlers, automation scripts, bulk registration or any non-official means;
- reverse-engineering, decompiling or attempting to derive data from any algorithm, source code or operating mechanism of the Product;
- publishing methods or techniques for circumventing the Product's safeguards;
- **using the Product's inputs or outputs to develop, train or improve any model or product that competes, directly or indirectly, with the Operator**;
- any other use that harms the Operator or its users.

5.3 You must not use the service to harm others: using it to defraud, harass, mislead or discriminate; collecting, uploading or inferring another person's personal information without authorisation; impersonating others or presenting false identity or credentials to obtain service.

5.4 You must not resell, rent, share, top up on behalf of others, or otherwise commercialise your account, Credits or paid entitlements, and must not use multiple accounts to evade limits or abuse granted entitlements.

5.5 When you use the Product from a given place you must comply with the laws applicable there. Without the approval of the competent authorities and our consent, you must not export or transfer the Product or its technology to a controlled country, entity or person.

## 6. AI-Generated Content

6.1 **Limitations.** Constrained by how generative AI works, AI output may contain errors, omissions, duplication or inappropriate content. **AI output does not represent the Operator's views or positions and is not professional advice or a basis for a decision.** Review it before you rely on it, and never treat it as the sole basis where factual, legal, medical or financial matters are involved. **You bear the loss arising from your reliance on AI-generated content.**

6.2 **Marking obligations.** Where required, AI-generated content carries a machine-readable generation mark (this capability is on our pre-launch acceptance checklist and will be enabled before general availability). When you publish or disseminate AI-generated content you must follow the content-labelling rules of the applicable territory and **must not remove, alter or conceal the AI generation marks applied by the Product**, present AI-generated work deceptively as wholly human-authored, or use it for false advertising or to manufacture false public opinion.

6.3 **Rights and responsibility.** Once you accept and adopt AI-generated content into your project, the rights in it and the responsibility for using it are yours, as the law provides.

6.4 **Prohibited high-risk uses.** You must not use the service for automated decisions that materially affect the safety, rights or wellbeing of individuals or society — medical, legal, credit, financial or critical-infrastructure decisions, among others — nor as a substitute for professional services that require qualifications.

## 7. Intellectual Property and Content Licence

7.1 **Your content is yours.** Copyright and related rights in the Project Data you create and upload (text and images) belong to you as the law provides. We host, store and process it only to deliver the service under these Terms and the Privacy Policy, **and acquire no intellectual-property interest in your content by doing so**.

7.2 **Not used for model training.** Apart from transmitting the content necessary to complete an AI task you initiated, **we do not use your project text to train or improve any machine-learning model**, and we do not sell or rent your Project Data. Operational statistics use behavioural metadata only and never read or upload your text.

7.3 **Necessary processing licence.** To store, sync, deduplicate and back up your data in the cloud and to transfer it between devices you have signed in on, you grant us the technically necessary rights to process it for those purposes. That licence does not extend to the uses prohibited by Section 7.2.

7.4 **Our rights.** The software, interface, icons, artwork, copy, trade marks and documentation of the Product belong to the Operator or the relevant rights-holder and are protected by intellectual-property law. Without written permission you must not use them in a way that causes confusion or disrepute, copy or modify them for commercial purposes, or remove or alter the rights notices and marks in the Product.

7.5 **Rights protection.** If you believe content in the Product infringes your intellectual property or other lawful rights, submit a notice with evidence through the channel published in Section 15, and we will remove or block it as the law requires. A person who submits a materially misstated rights notice bears all resulting legal liability.

## 8. Credits, Payment and the Ledger

8.1 **Earning Credits.** Credits come from registration grants (trial Credits), promotions, referral rewards and purchase. **Granted and purchased Credits differ in consumption order, expiry and refund treatment, as stated on the relevant page; trial, promotional and referral Credits are non-refundable and non-cashable.**

8.2 **Metering.** AI calls reserve Credits at the pricing in force when the task starts and settle on actual usage; failed, cancelled or reclaimed tasks release their reservation. **The server-side ledger is the sole authority for your balance, reservations and settlements**; client-side displays are indicative only.

8.3 **Expiry.** Some Credit batches carry an expiry date as shown on the relevant purchase or grant page. **Credits unused at expiry lapse automatically and lapsed Credits are not refundable.**

8.4 **Purchasing and subscriptions.** Global goods are priced in USD and paid through Creem; CN goods are priced in CNY and use Alipay on the desktop website. Sign in and confirm the product and amount in your account centre before checkout. Prices, contents, validity and purchase limits follow the product version displayed before checkout. Subscriptions are **fixed 30-day terms, paid once and renewed manually, with no automatic charge**. The first term starts after confirmed payment; an early renewal starts after the current term ends. Subscription Credits are granted when that term starts, and unused Credits expire at its end. Credit packs are separate goods and do not activate a subscription; any expiry follows their purchase page. Returning to the Product does not confirm payment: the server verifies a signed notification or the channel's order status.

8.5 **Refunds.** The Refund Policy applies to refunds: qualifying orders may be refunded to the original payment method, and a refund simultaneously recovers the corresponding Credits (including referral and promotional grants triggered by that order).

8.6 **Negative balances.** Billing anomalies can produce a negative balance advanced by system credit; Credits you later top up or are granted are applied against the deficit first.

8.7 **Invoices.** Where you need a receipt or invoice, request it through the channel published in Section 15 with your order details and we will handle it lawfully.

## 9. Changes, Interruption and Termination

9.1 We will maintain the Product so far as our current technology allows, but service may be interrupted, delayed or altered by maintenance, upgrades, force majeure, or third-party dependencies (networks, power, payment channels, model providers). We will give notice in advance or promptly by announcement and restore service as soon as we can.

9.2 **Data risk measures.** Local caching, conflict copies and cloud backups reduce data risk, but **we do not guarantee absolute completeness or non-loss of data in all circumstances**. Keep your own exported copies.

9.3 **Shutdown.** If the Product as a whole ceases operation we will give advance notice and preserve your account access and export ability for a reasonable period; your remaining paid entitlements are handled under the Refund Policy and applicable law.

## 10. Disclaimers and Limitation of Liability

10.1 The service is provided "as is". To the maximum extent the law allows, we give no warranty or condition not expressly stated in these Terms, and we do not warrant that the service will be uninterrupted, error-free, or suited to your particular needs or expectations.

10.2 **Limitation.** Except where mandatory law provides otherwise, we are not liable for indirect loss, lost profits or lost goodwill arising from use of or inability to use the service. **Our aggregate liability to you is capped at the total amount you actually paid us in the calendar month immediately preceding the dispute; if you have never paid us, at the lowest level the law allows.**

10.3 We bear no liability for non-performance or delay caused by natural disaster, war, strike or act of government; failure of public utilities such as power or telecommunications; routine or emergency maintenance and equipment or system failure while we exercise reasonable management; or your own device, network, or a third-party service.

## 11. Handling Violations

11.1 Where you breach these Terms or the Platform Rules we may, singly or in combination and proportionate to the seriousness of the breach, warn you, restrict functions, block or delete content, freeze Credits, suspend or terminate your account, and retain records as the law requires; suspected illegality is reported to the authorities.

11.2 Where your breach causes us loss you must compensate us, including loss of goodwill and reasonable litigation, arbitration, counsel, investigation and notarisation costs.

## 12. Amendments and Account Deletion

12.1 Amendments follow the Important Notice; material changes are prominently flagged in the Product.

12.2 **You delete your account.** You may apply from the account centre. A cooling-off period applies, revocable by you. After it ends and session termination is confirmed, your cloud projects (with all image assets) and account data are deleted. See the Privacy Policy. **Local caches and copies you have exported are unaffected by deletion; handle them yourself.** Export anything you want to keep before deleting.

12.3 **We terminate.** On material breach, materially false registration details, or where termination is legally required, we may stop serving you without prior notice; losses of account assets that follow are handled under Section 11 and the Refund Policy.

## 13. Notice and Service

13.1 Keep the contact method for your market valid and current. Service email for a Global account goes to the registered email address; the CN edition sends verification codes to the registered mobile number. In-product announcements and notices on the official website are deemed served when published; the precise electronic service method follows the product prompts and applicable law in force at the time.

13.2 For disputes arising from the service you agree that a judicial authority, including a court, may serve documents on you by the electronic method you provided and confirmed at registration, or by post, with the earliest service counting, across first instance, appeal, retrial and enforcement. Where a stale contact means you did not actually learn of a document, you bear that consequence.

13.3 For notices with legal effect we accept only the channels published on the official website, including the published email address.

## 14. Governing Law and Dispute Resolution

14.1 The formation, effect, interpretation, amendment, supplementation, termination, performance and dispute resolution of these Terms are governed by the laws of mainland China (excluding, for this purpose, Hong Kong, Macau and Taiwan). Where no provision applies, commercial and industry custom is referenced.

14.2 Disputes should first be negotiated in good faith. **Failing negotiation, either party may bring suit before the competent court at the Operator's place of business.**

14.3 If any clause is held invalid, void or unenforceable it is treated as severable and the remainder stands.
